Client Service Agreement (summary)
Warisoft LLC · Last updated: October 24, 2026
Every paid project starts with a written service agreement between Warisoft LLC and the client, signed by both sides before any paid work begins (a free preview we offered carries no obligation). This page sets out the standard terms in that agreement so you can read them before we meet. The signed agreement, with its Schedule A describing your project, is what governs.
Parties
Warisoft LLC, an Ohio limited liability company, and the client named in the agreement (the business's legal name as registered with the Ohio Secretary of State, or the owner's full name doing business as the trade name). The person signing confirms they have authority to sign.
Scope
Schedule A lists what we build: the domain, pages and sections, one feature built for your business, the content you supply, and the target delivery date. Anything not in Schedule A is outside the agreement unless we both agree to it in writing.
Price and payment
The price is fixed in writing before work starts. A deposit, stated in your agreement, is due at signing, and the balance is due when your agreement says. Payment goes to Warisoft LLC only, by check made out to Warisoft LLC or by Zelle to waris@warisoft.ai (the Warisoft LLC business account), and every payment gets a numbered invoice and receipt. Prices do not include Ohio sales tax; if tax applies, it is a separate invoice line.
Delivery and approval
Until the target delivery date, or 7 days after we deliver the first working version if that is later, you can ask for any number of changes within your Schedule A; after that, changes before approval are $50 an hour, agreed in writing first. If we don't hear a written change request within 7 days of delivery, the work counts as approved. If we have not delivered by the target delivery date in your Schedule A (30 days after signing unless Schedule A says otherwise), you may cancel and your deposit is refunded in full, even if work has started. This does not apply when the delay comes from waiting on content, access or approvals from you; the target date moves by the length of that wait. (See our Refund Policy.)
Monthly plans
If you choose a monthly plan, it starts the month your site or assistant goes live. Website care covers hosting, your domain renewal (registered in your name, with your own login and transfer code), small edits such as hours, prices and photos, and keeping your Google Business Profile current with posts and review replies. An AI assistant's monthly plan covers what your agreement describes. Its price and what it includes are written in your agreement. Extra work outside the plan is quoted and agreed in writing first.
Ownership
You own your domain, your content, your photos and your business data from day one, and you confirm you have the rights to the content you give us. Once your project is paid in full, you own everything we build for you (the code, and any accounts we set up for you; accounts already in your name stay yours throughout) and may take it elsewhere. Our own pre-existing tools and any third-party or open-source components are not transferred; you get a license to use them as part of your project. We may show the finished work in our portfolio, as your agreement states.
Cancelling
If you cancel a project before delivery for any reason other than our missing the delivery date, the deposit is not refunded. Either side may end a monthly plan with 30 days' written notice. When the account is paid up, we hand over your files and any remaining access. If a monthly payment is more than 15 days late, we may pause the service (for a site, take it offline) until it is paid. Refunds are covered in our Refund Policy.
Limits
We aim to build to the WCAG 2.1 AA accessibility standard but cannot guarantee legal compliance. We don't guarantee search rankings, sales or traffic, and we are not responsible for outages at third-party services. Our total liability is capped at the fees you paid us in the 3 months before the claim.
General
Changes to the agreement take effect only when both sides agree in writing; an email, or a text exchanged with our business line, (614) 664-9572, counts. The agreement is governed by Ohio law.
